GameBreakers Terms of Service

Version: 2026-10-17 Effective Date: 2026-10-17

1. Acceptance of Terms

The Service is operated by GAMEBREAKERS LLC, a Missouri limited liability company ("GameBreakers," "we," "us" or "our").

By creating an account, accepting this agreement at registration, or using the GameBreakers application or services (the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Responsible Play Policy, and our AML/KYC Policy (together, the "Agreements"). If you do not agree, do not create an account or use the Service. Continued use of the Service after a posted update to these Terms constitutes acceptance of the updated Terms; where required, you will be prompted to re-accept before continuing to use money-related features.

2. Eligibility

2.1. You must be at least 18 years old to create an account or use the Service, or older where the law of your state of residence sets a higher minimum age for paid-entry contests (currently 19 in Alabama and Nebraska, and 21 in Iowa and Massachusetts). You are also responsible for knowing and complying with any other law that applies to you.

2.2. The Service is available only to residents of the United States, and paid features only to residents of, and people physically located in, an Eligible State (see Section 10).

2.3. By registering, you represent and warrant that: (a) the state of residence you give us is your true legal residence; (b) you are legally permitted to participate in paid-entry skill competitions in the state where you are physically located whenever you pay an entry fee or deposit; (c) you are not a resident of, and will not pay an entry fee or deposit while located in, a Restricted Location (see Section 10); (d) you are not on any sanctions or watch list maintained by the U.S. Treasury's Office of Foreign Assets Control (OFAC); and (e) all information you provide is accurate and current.

2.4. One natural person may hold only one account. Accounts may not be shared, sold, transferred, or operated on behalf of another person.

3. Description of the Service

GameBreakers is a skill-based tournament organizer. Users may create or enter head-to-head skill competitions ("Challenges") in a supported video game, decided by the entrants' own performance (e.g., match result, kill count, objective score). Each entrant pays the same entry fee; GameBreakers holds both entry fees in escrow while the Challenge is played and, once the result is confirmed, awards the prize pool (the combined entry fees, less the organizer fee in Section 5.3) to the winner. The entry fee, organizer fee and prize are shown to both entrants before they enter. GameBreakers does not compete in any Challenge, does not offer games of chance, and has no financial interest in which entrant wins; it organizes the competition, verifies the result, and pays the prize. Where a Challenge's outcome cannot be independently and automatically verified, this Agreement and the underlying mechanics described in Section 7 apply.

4. Account Registration & Security

You must provide accurate registration information and keep your password confidential. You are responsible for all activity that occurs under your account. Notify [email protected] immediately if you suspect unauthorized access.

5. Wallet, Deposits & Withdrawals

5.1. Deposits are processed through our third-party payment processor (currently Stripe). GameBreakers does not store your full payment card number.

5.2. Funds you deposit are held in a custodial wallet balance associated with your account and may only be used to pay Challenge entry fees or be withdrawn, subject to Section 5.4.

5.3. GameBreakers retains an organizer fee (currently 5% of the prize pool) from each completed, resolved Challenge. The fee percentage may change on notice.

5.4. Withdrawal requests are subject to identity-verification and anti-fraud review as described in our AML/KYC Policy, and to any deposit/withdrawal limits in effect on your account (including limits you set yourself under our Responsible Play Policy).

6. Challenges, Entry Fees & Prizes

6.1. When you create or enter a Challenge, the entry fee is deducted from your wallet balance and held in escrow for the duration of the Challenge.

6.2. If a Challenge is cancelled before both participants are confirmed, entry fees held in escrow are returned in full.

6.3. Upon resolution of a Challenge, the prize pool (less the organizer fee) is awarded to the winner's wallet balance, subject to Section 8 (funds may be held or reversed pending a fraud or dispute investigation even after a Challenge shows as resolved).

6.4. GameBreakers applies limits on the size of a single entry fee, the number of Challenges you may enter per day, and your total entry fees per day, to reduce the risk of runaway or automated play. Current limits are shown in the app and may be tightened further at your own request (see your account's Responsible Play settings) or by GameBreakers at its discretion.

7. Match Verification

7.1. API-verified games. For games where the publisher provides an official mechanism for third-party applications to read match data (for example, Counter-Strike 2's Game State Integration or Riot Games' match API), GameBreakers reads that data directly and resolves the Challenge automatically.

7.2. Evidence-verified games. For games where no such official mechanism exists, GameBreakers resolves Challenges using evidence you and your opponent submit: a screenshot of the match result, and, for stat-based Challenges, a screenshot of your in-game statistics screen captured within the time window the application specifies. Your opponent has a defined window to confirm or dispute a submitted result; if neither confirms nor disputes within that window, the submitted result is treated as accepted. If you fail to submit required stats evidence within the specified window for a stat-based Challenge, you forfeit that Challenge automatically, regardless of your actual in-game performance. You acknowledge this is a condition of participating in evidence-verified Challenges and agree it is not unfair or unconscionable given the lack of an independent data source.

7.3. Disputed results are referred to platform review under Section 8.

8. Cheating, Fraud & Fund Holds

8.1. GameBreakers may investigate any Challenge for suspected cheating, collusion, evidence tampering, exploited bugs, or other conduct that undermines fair competition, whether the report comes from a participant (during or after the match), automated detection, or platform staff. You have the right to flag a completed Challenge as suspicious at any time, and doing so during the hold window described in 8.2 is guaranteed to pause the payout even if our automated detection did not independently catch it.

8.2. Every Challenge prize is held for a standard verification window (currently 48 hours, subject to change) after the match is resolved before it becomes available for withdrawal or for paying a new entry fee. During this window the prize is visible to the winner but not spendable. Separately, and in addition to this standard hold, GameBreakers may lock, hold, or reverse a payout — including a payout already credited to and spendable from a wallet balance — at any time an investigation is open, whether or not the standard hold window has already passed.

8.3. Evidence standard. Decisions under this section are made on a good-faith, preponderance-of-the-evidence basis — i.e., what the available evidence (screenshots, in-game/API match statistics, timing and behavioral patterns, account history) more likely than not shows — not a "beyond a reasonable doubt" standard. This reflects that GameBreakers is adjudicating a contract dispute between two entrants over a competition result, not a criminal proceeding.

8.4. Upon concluding an investigation, GameBreakers will, in its reasonable discretion, apply one of the following:

All such decisions are logged internally and may be appealed once through [email protected].

8.5. Scope of reversal. Reversing or voiding a Challenge reaches only the funds from that specific Challenge that are still traceable to the affected account — i.e., what remains in that account's wallet balance or held/pending prizes. If a participant has already withdrawn funds from a Challenge, or spent them on other entry fees, before a reversal is decided, GameBreakers will recover what remains available in that account but will not pursue funds that have already moved through a separate, legitimate transaction to a different, uninvolved player. Any shortfall that cannot be recovered is logged and may instead be treated as a debt owed by the offending account, subject to collection through account suspension, withholding of future prizes, or other lawful means, at GameBreakers' discretion.

8.6. Confirmed cheating, evidence fraud (including submitting a falsified or manipulated screenshot), or repeated disputes found to be made in bad faith are grounds for forfeiture of funds related to the specific Challenge(s) involved, account suspension, or permanent ban, at GameBreakers' discretion. A banned account may not circumvent this by creating a new account; GameBreakers uses device-level signals to detect and block re-registration attempts tied to a banned account, on a best-effort basis.

9. Prohibited Conduct

You agree not to: use cheat software, aimbots, wallhacks, or unauthorized third-party tools in any Challenge; collude with an opponent or third party to manipulate a result; submit false, altered, or staged evidence; hold or operate more than one account; attempt to circumvent a self-exclusion or deposit limit; use the Service for money laundering or to fund illegal activity; or reverse a payment made to GameBreakers ("chargeback") without first contacting [email protected].

10. Where the Service Is Available

10.1. Restricted Locations. Paid features of the Service (paying an entry fee, creating or entering a paid Challenge, and depositing funds) are not available to residents of, or to anyone physically located in: (a) the following U.S. states: Arizona, Arkansas, Connecticut, Delaware, Louisiana, Maryland, South Dakota and Washington; (b) any country other than the United States, including U.S. territories; and (c) any country or region subject to comprehensive U.S. sanctions. Every other U.S. state and the District of Columbia is an "Eligible State". We may add Restricted Locations at any time, effective immediately, and will update this Section when we do.

10.2. How we check. You give your state of residence when you register, and it is confirmed against your government ID during identity verification; the address on your ID takes precedence. Every time you pay an entry fee or deposit, we also check where you are physically located using your connection's IP address, and we refuse the action if you appear to be in a Restricted Location or if your location can't be confirmed. We also review the country of your payment card and your billing address.

10.3. VPNs and location masking. You may not use a VPN, proxy, Tor or any other tool or technique to hide or change your location or residence. Connections that appear to come from such a service are refused.

10.4. Consequences. If you give a false residence, use the Service from a Restricted Location, or mask your location, we may void any affected Challenge, refund the entry fees involved, withhold any prize won in it, and suspend or close your account. Prizes won in breach of this Section are forfeited.

10.5. Your balance. If you move to, or are found to reside in, a Restricted Location, you can still sign in and withdraw your available balance (subject to identity verification and Section 8). Withdrawals are not available from sanctioned countries or regions, or through a VPN or proxy.

10.6. If you have moved, contact [email protected] to update your residence; we may ask for proof of your new address.

11. Fees

See Section 5.3. Payment processing fees charged by our processor may also apply to deposits and are disclosed at the time of deposit.

12. Dispute Resolution

Before pursuing any formal claim, you agree to first contact [email protected] and allow GameBreakers a reasonable opportunity to resolve the issue. {{ARBITRATION_CLAUSE_PLACEHOLDER — insert binding arbitration / class-action-waiver language here only after counsel confirms enforceability in the relevant jurisdictions; do not publish without that review, as arbitration clauses are subject to state-specific requirements and, for some consumer contracts, restrictions.}}

13. Limitation of Liability

To the maximum extent permitted by law, GameBreakers and its officers, employees, and affiliates are not liable for indirect, incidental, or consequential damages arising from your use of the Service, including losses from a game's own service outages, cheating by another user, or a Challenge outcome. GameBreakers' total liability for any claim is limited to the amount of the disputed entry fee.

14. Termination

GameBreakers may suspend or terminate your account for violation of these Terms, suspected fraud, or as required by law. Upon termination, any undisputed wallet balance not subject to an open investigation will be returned to you, subject to standard withdrawal processing.

15. Changes to These Terms

We may update these Terms. Material changes require you to re-accept before continuing to use money-related features of the Service, and prior versions remain available for your records.
